Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and illumi one pte. ltd. (“illumi,” “we,” “us,” or “our”), a company incorporated in Singapore (UEN: 202421256N).

1. Account Registration and Individual Use

• 1.1. Individual Account Rule: Access to the Services is licensed on a per-user basis.
  • Each account is for the exclusive use of a single individual.
  • You are strictly prohibited from sharing your login credentials with any other person.
• 1.2. Account Integrity: You represent and warrant that all information provided is accurate and complete.
  • Creating multiple accounts to exploit the Free Tier or using false identities to bypass usage limits is considered a material breach of these Terms.
  • Failure to maintain accurate information may result in immediate account suspension.

2. Service Tiers and Billing

• 2.1. Free Tier: illumi provides a version of the Services free of charge with specific usage limits.
  • You agree not to circumvent these limits through technical or manual means.
• 2.2. Paid Subscriptions:
  
  • Seat-Based Billing: Fees are billed per "Seat" or "User." In collaborative workspaces, you are responsible for the fees of all invited members.
    • Recurring Billing: Subscriptions are billed in advance on a recurring basis.
    • Non-Refundable: All fees are non-refundable except where required by Singapore law.

3. Intellectual Property and Data Privacy

• 3.1. Ownership: You retain all right, title, and interest in and to:
  • The data you provide to the platform ("Input").
  • The content generated by the AI based on your instructions ("Output").
• 3.2. No Training Policy: illumi does not use your User Content (Inputs or Outputs) to train, refine, or improve our machine learning models. Your data remains your proprietary information.

4. Prohibited Conduct

You shall not engage in the following activities:

• Sharing or "pooling" accounts to avoid subscription fees.
• Using automated bots, scripts, or scraping tools to interact with the Services.
• Generating content that violates Singapore's regulatory guidelines or the laws of your local jurisdiction.
• Publishing, sharing, or distributing boards or content that contain fraudulent payment requests, phishing links, scam schemes, or deceptive materials intended to mislead or defraud any person, whether or not that person is a user of the Services.
• Using the Services as a hosting, forwarding, or distribution surface for fraudulent schemes, including but not limited to fake invoices, impersonation of legitimate businesses or individuals, or any content designed to obtain money or personal information through deception.
• Impersonating illumi, its affiliates, partners, or any other entity in connection with content published or shared through the Services.

5. Content Takedown and Abuse Response

• 5.1. Removal Rights: illumi reserves the right to remove, disable, or restrict access to any board, card, or content that we reasonably believe violates these Terms or applicable law, including content associated with fraudulent activity. We may act without prior notice where the situation warrants immediate intervention.
• 5.2. Reporting: If you become aware of content on the Services that you believe constitutes fraud, phishing, or another form of abuse, you may report it to us at legal@illumi.one. We will investigate reports in good faith and take action as appropriate.
• 5.3. Cooperation with Authorities: illumi reserves the right to cooperate with law enforcement agencies and regulatory authorities in connection with any investigation of fraudulent activity conducted through the Services.

6. Disclaimer and Limitation of Liability

• 5.1. "As Is" Basis: The Services and AI-generated Outputs are provided "AS IS." illumi makes no warranties regarding the accuracy, originality, or reliability of AI Outputs.
• 5.2. Model Availability: We do not guarantee that all AI models (e.g., Claude, GPT) will be available in all geographic locations. Access is subject to third-party provider policies and regional regulatory compliance.
• 5.3. Liability Cap: illumi’s total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim. For Free Tier users, liability is limited to SGD $100.

7. Duration and Termination

• 7.1. Termination by illumi: We reserve the right to suspend or terminate your access immediately, without notice, if you breach these Terms.
• 67.2. Specific Grounds: Termination may occur for account sharing, providing fraudulent data, bypassing regional restrictions via unauthorized means, or using the Services in connection with any fraudulent, deceptive, or harmful activity directed at any party.

8. Regional Restrictions and Compliance

• 8.1. Local Regulations: You acknowledge that access to specific features may be restricted based on the laws of the territory in which you are located.
• 8.2. Geographic Limitations: Certain models may be unavailable in regions  due to third-party restrictions. illumi is not liable for diminished functionality in these regions.
• 8.3. Compliance: You agree not to use VPNs or circumvention tools to bypass regional restrictions if such use violates local law or the model provider's terms.

9. Governing Law

• These Terms are governed by and construed in accordance with the laws of Singapore.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
